Terms of Service

Please read these terms carefully before using SmartHosi. By accessing our platform, you agree to be bound by these terms.

1. Acceptance of Terms

By accessing or using SmartHosi (“the Service”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of a healthcare facility or organization, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, you may not access or use the Service. We reserve the right to modify these Terms at any time, with notice provided through the Service or via email to registered administrators.

2. Service Description

SmartHosi is a cloud-based Hospital Management Information System (HMIS) that provides:

  • Patient registration and records management
  • Appointment scheduling and visit management
  • Clinical documentation and workflow tools
  • Laboratory and radiology order management
  • Pharmacy and inventory management
  • Billing, invoicing, and payment processing
  • Reporting and analytics
  • Multi-tenant architecture with data isolation

The Service is provided on a subscription basis. Features and functionality may vary based on your subscription plan.

3. User Accounts and Access

Account Registration:

  • Healthcare facilities must provide accurate registration information
  • You must designate at least one administrator for account management
  • User accounts are created and managed by facility administrators

Account Security:

  • You are responsible for maintaining the confidentiality of login credentials
  • You must immediately notify us of any unauthorized access
  • Strong passwords and multi-factor authentication are recommended
  • User access should be restricted based on job roles and responsibilities

User Responsibilities:

  • Users must comply with all applicable healthcare regulations
  • Access to patient data must be limited to authorized personnel
  • Regular review of user access privileges is recommended

4. Acceptable Use Policy

You agree NOT to use the Service to:

  • Violate any applicable laws or regulations
  • Access data you are not authorized to view
  • Share login credentials or allow unauthorized access
  • Upload malicious code, viruses, or harmful content
  • Attempt to breach, disable, or circumvent security measures
  • Interfere with the Service's operation or other users
  • Reverse engineer, decompile, or extract source code
  • Use automated tools to scrape or extract data
  • Resell or sublicense access to the Service

Violation of this policy may result in immediate suspension or termination of access.

5. Payment and Billing

Subscription Fees:

  • Fees are based on your selected subscription plan
  • Payment is due according to the agreed billing cycle (monthly/annually)
  • Prices may be adjusted with 30 days' advance notice

Payment Terms:

  • Invoices are issued at the beginning of each billing period
  • Payment is due within 30 days of invoice date
  • Late payments may incur interest charges and service restrictions
  • All fees are non-refundable unless otherwise specified

Taxes:

You are responsible for all applicable taxes. If we are required to collect taxes, they will be added to your invoice.

6. Data Ownership and Rights

Your Data:

You retain all ownership rights to data you input into the Service (“Your Data”). We do not claim ownership of patient records, clinical data, or other content you create.

License to Us:

You grant us a limited license to host, store, process, and display Your Data solely for the purpose of providing the Service. This license ends when you terminate your subscription.

Our Intellectual Property:

SmartHosi, including its software, design, logos, and documentation, is our intellectual property. Your subscription grants you a limited, non-exclusive license to use the Service during your subscription term.

7. Service Availability and Support

Availability:

We strive for 99.9% uptime but do not guarantee uninterrupted availability. Scheduled maintenance will be communicated in advance when possible.

Support:

  • Technical support is available via email and our support portal
  • Response times depend on issue severity and subscription tier
  • Critical issues affecting patient care receive priority attention

Updates:

We regularly update the Service to improve functionality and security. Major changes will be communicated in advance.

8. Limitation of Liability

Important Notice:

SmartHosi is a tool to support healthcare operations. It is not a substitute for professional medical judgment. Healthcare providers remain responsible for all clinical decisions and patient care.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SMARTHOSI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Termination

Termination by You:

You may terminate your subscription at any time by providing written notice. Termination will be effective at the end of your current billing period.

Termination by Us:

  • We may terminate for breach of these Terms with 30 days' notice to cure
  • Immediate termination is reserved for serious violations or illegal activity
  • We may discontinue the Service with 90 days' advance notice

Effect of Termination:

Upon termination, your access to the Service will cease. You may request data export within 30 days of termination. After this period, your data may be deleted.

10. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws. Any disputes arising from these Terms shall be resolved through good-faith negotiation, or if necessary, through binding arbitration or the courts of competent jurisdiction.
